Who this agreement is with
These terms are between Swinfy Solutions Private Limited (“we”, “us”) and the clinic or hospital that uses Caira (“the clinic”, “you”). The clinic is our customer.
Patients who message a clinic through Caira are not party to these terms. What happens to their information is described in our privacy policy and data deletion page.
What Caira does
Caira answers a clinic's patients on WhatsApp. It books, reschedules and cancels appointments, answers questions about the clinic, sends reminders and confirmations, and follows up after a visit. It works from the information the clinic gives it — doctors, departments, timings, fees.
What the clinic is responsible for
- The information Caira speaks from. Timings, fees, doctors and departments come from you. If they are wrong, Caira repeats them.
- Telling patients. You are responsible for having the lawful basis to message your patients, and for telling them their information is handled through Caira.
- Clinical decisions. Every medical judgement stays with your clinicians. Caira schedules; it does not treat.
- Your staff's accounts. Keep dashboard logins to the people who should have them, and tell us promptly if one is compromised.
Caira does not give medical advice
Caira is a scheduling and communication tool. It does not diagnose, prescribe, or advise on treatment. When a message reads as urgent, it tells the patient to call 108 or the clinic's emergency line rather than continuing the conversation. Neither you nor your patients should rely on a WhatsApp message in an emergency.
WhatsApp is Meta's platform, not ours
Messages travel over the WhatsApp Business Platform and are subject to Meta's own terms and policies. We act as a technology provider: we connect your WhatsApp Business Account to Caira and operate it on your instructions. Meta can change, rate-limit or suspend that platform, and where it does, the effect on Caira is outside our control.
You agree not to use Caira to send spam, to message people who have not agreed to hear from you, or in any way that breaches Meta's policies. If a patient replies STOP, Caira stops messaging them and you agree not to work around that.
Fees
Fees, and what is included, are whatever we have agreed with you in writing. Meta charges separately for conversations on the WhatsApp Business Platform; unless we have agreed otherwise, those charges are yours. Pilot or trial periods are free only for the period we have stated.
Your data, and your patients'
Under India's Digital Personal Data Protection Act the clinic is the Data Fiduciary and Swinfy Solutions Private Limited acts as a Data Processor on your behalf. We process patient information on your instructions and for no other purpose. We do not sell it and we do not use it for advertising. The detail is in the privacy policy.
Availability
We work to keep Caira running, but we do not promise uninterrupted service. Maintenance, third-party outages and platform changes all cause interruptions. Caira supplements your front desk; it should not be the only way a patient can reach you.
Liability
Caira is provided without warranties beyond those the law requires us to give. To the extent the law allows, we are not liable for indirect or consequential loss, for lost revenue, or for missed appointments arising from a platform outage or from information the clinic supplied. Nothing here limits liability that cannot lawfully be limited.
Ending the agreement
Either of us may end the agreement on written notice. We may suspend the service if it is being used in a way that breaks these terms or Meta's policies, or if fees are unpaid.
When a clinic stops using Caira, we delete or return that clinic's data — including patient conversations and appointments — within a reasonable period, unless the law requires us to keep it longer. This is described on the data deletion page.
Governing law
These terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction.
Changes
If we change these terms we will update the date at the top of this page and, for changes that matter, tell the clinic directly.
